This Electronic Disclosure and Consent applies when Niural Inc. and its affiliates (“Niural,” “we,” “us” or “our”) provide documents, notices, disclosures or other communications electronically through our websites, applications, platforms or services (collectively, the “Services”).
“You” means the individual or entity to whom Communications are provided. If you act on behalf of an entity, you represent that you are authorized to act on its behalf.
“Communications” includes agreements, notices, policies, statements, tax documents, employment documents and other information provided in connection with the Services.
1. Electronic Communications
Where you are asked to consent to electronic delivery, your consent applies to Communications provided in connection with the Services unless you withdraw it or a separate disclosure provides otherwise.
Communications may be delivered through the Niural platform or application, email, links to the Services or another electronic method identified to you.
Where applicable law requires additional consent or confirmation that you can access electronic records, Niural or the applicable customer may require you to complete an additional consent process.
2. Electronic Signatures
Where available, you agree that an electronic signature, selection of an “I Accept,” “Agree” or similar button, or other electronic indication of acceptance may have the same legal effect as a handwritten signature to the extent permitted by applicable law. By signing electronically, you confirm that you can access and review the document, intend to sign it electronically and are authorized to enter into it.
3. Niural and Customer Communications
Depending on the applicable Service, Communications may be provided by Niural, a Niural customer or both. Where Niural facilitates customer documents, the customer remains responsible for the content, timing, recipients, consent and delivery requirements applicable to those documents, except where Niural has expressly agreed otherwise or Niural acts as an employer, employer of record, co-employer or other legally responsible party.
4. Paper Copies and Withdrawal
You may print or save electronic Communications and may request available paper copies by contacting support@niural.com. Niural does not charge a fee for paper copies required to be provided under applicable law. Optional duplicate or historical copies may be subject to availability and any fee disclosed before your consent, to the extent permitted by law.
You may withdraw your consent to electronic delivery at any time by contacting us or, where applicable, the relevant Niural customer. There is no fee to withdraw consent. Withdrawal will become effective within a reasonable period after receipt. Where required by applicable law, we will confirm the withdrawal and its effective date. Withdrawal does not affect Communications or electronic signatures completed before it becomes effective and does not, by itself, terminate your employment, engagement or other relationship.
For business customers, where electronic delivery is necessary to provide an affected Service, Niural may restrict or discontinue that Service following withdrawal, subject to applicable law and the applicable service agreement. For Communications provided by a Niural customer, withdrawal requests may be handled by that customer, except where Niural is independently responsible for the Communication.
5. Contact Information and System Requirements
You are responsible for keeping your email address and other contact information current. You may update your contact information through your account settings or by contacting support@niural.com.
To access electronic Communications, you must have a device with internet access, a current or immediately prior major release of a commonly used browser or supported application, an active email address where applicable, and software capable of viewing PDF files and other formats used by the Services.
If a material change to applicable hardware or software requirements creates a material risk that you will be unable to access or retain Communications, we will provide notice of the revised requirements and obtain renewed consent where required by law.
6. Requirements for Specific Services
Certain Communications, including tax forms, employee benefit disclosures, wage statements and other regulated notices, may be subject to additional electronic delivery or consent requirements. Where applicable law requires separate or additional consent, this agreement does not replace those requirements.
7. Record Retention and Local Law
Customers remain responsible for record retention obligations relating to their own documents, except where Niural has expressly agreed otherwise or has an independent legal obligation. Electronic signatures and delivery may also be subject to local law. Where applicable law imposes different requirements, those requirements will govern.
