Niural Referral Program Terms

By participating in the Niural Referral Program (the “Program”), you agree to these Terms & Conditions. Niural Inc. and its affiliates (“Niural”) may modify, suspend, or terminate the Program at any time, subject to applicable law.

1. Eligibility

A referred person or company must be a new prospective customer that is not a current or former Niural customer and is not already an active prospect, opportunity, or referral in Niural’s records at the time the referral is submitted. Referrals must be submitted through Niural’s official referral form or another method expressly approved by Niural. By submitting a referral, the referrer represents that they are permitted to provide the submitted information to Niural and that Niural may contact the referred person or company regarding Niural’s services.

2. Referral Reward & Payout

Eligible referrers may receive a reward of up to $2,500 USD for a successful referral. The applicable reward amount may depend on the referred company’s size, eligible Niural services subscribed to, contract duration, and other Program criteria established by Niural. A referral is considered successful only when:

• the referred company completes onboarding;
• the referred company makes at least one required payment to Niural;
• the referred company remains an active customer for at least 120 days after signup; and
• all other applicable Program requirements have been satisfied.

No reward is earned or vested until all eligibility requirements have been satisfied. Niural will determine referral eligibility and reward amounts in its reasonable discretion based on its records and the applicable Program criteria. No reward will be payable if the referred customer cancels before satisfying the eligibility requirements, fails to pay amounts when due, receives a refund or chargeback affecting eligibility, or is associated with fraud, abuse or circumvention of the Program.

Eligible rewards will generally be paid within 30 days after all eligibility requirements are satisfied and may be paid by bank transfer, account credit, or another Niural-approved method. No reward is paid for the referral, solicitation, sale, placement, or renewal of insurance, or based on insurance premiums, commissions, or the purchase of any insurance product. Referral rewards relate solely to eligible Niural non-insurance services and remain subject to applicable law.

3. Restrictions

Self-referrals and referrals of entities in which the referrer has a direct ownership interest are not eligible unless Niural expressly approves otherwise in writing. If more than one person refers the same person or company, Niural may recognize the first qualifying referral received based on Niural’s records. Referrers may not:

• make representations, warranties, or commitments on Niural’s behalf;
• hold themselves out as employees, agents, brokers, or representatives of Niural;
• use Niural’s trademarks, logos, or other intellectual property except as expressly authorized;
• engage in unlawful, deceptive, misleading, or unsolicited marketing; or
• engage in fraudulent, artificial, random, or otherwise abusive referral activity.

Where a referrer publicly promotes or endorses Niural in connection with the Program, the referrer must clearly disclose that they may receive compensation for successful referrals and comply with applicable advertising, marketing, privacy, communications, and other laws. Niural may disqualify any referral or participant that violates these Terms & Conditions or that Niural reasonably determines involves fraud, abuse, circumvention, or other improper activity.

4. Program Modifications & Termination

Niural may modify, suspend, or terminate the Program, including eligibility requirements and reward amounts, at any time, subject to applicable law. No referral reward is earned merely because a referral has been submitted. Any reward that has already been earned under these Terms & Conditions before a modification or termination of the Program will remain payable, subject to Niural’s rights regarding fraud, error, refunds, chargebacks, or other violations of these Terms & Conditions.

5. General Conditions

Referral rewards are subject to applicable tax reporting and withholding requirements. Referrers are responsible for their own taxes and must provide any tax documentation reasonably requested by Niural as a condition of payment.

Participation in the Program does not create any employment, partnership, joint venture, franchise, fiduciary, agency, brokerage, or other similar relationship between the referrer and Niural.
